Corporate Counsel

We are seeking a motivated Corporate Counsel to join our team (remotely). This position will collaborate with business units across the organization and support day-to-day operational needs and business priorities, with a primary focus on commercial contracts. The Corporate Counsel will also support a wide range of projects as they arise, including corporate governance, M&A and intellectual property matters.

This individual should possess flexibility to adapt to changing priorities and the ability to operate independently in a fast-paced environment

Key Responsibilities:

* Draft & negotiate various commercial agreements including NDAs, Letters of Intent/MoUs, services engagements, in-bound/outbound licenses, partnerships, distribution, sponsorship, promotion/marketing and other commercial agreements and arrangements.

* Update and maintain standard forms of agreements.

* Review and interpret legal/contractual obligations and applicable laws and regulations.

* Support corporate governance matters, including board minutes and subsidiary maintenance.

* Manage intellectual property portfolio and assist with related matters.

* Support business development and M&A activities, including due diligence.

* Provide legal support for projects as assigned, including drafting policies, compliance, employment, risk management, privacy, real estate and other legal issues.

Qualifications:

* Juris Doctor and membership in good standing in at least one state bar.

* At least 2 - 4 years' experience structuring, drafting, and negotiating contracts.

* Strong written and oral communication skills.

* Willingness and ability to take initiative to proactively identify and solve problems.

* Demonstrated team work and group collaboration skills.



  • The pay range for this position starts at $125,000.00; however, base pay offered may vary depending on job-related knowledge, skills, and experience. Bonus opportunities may be provided as part of the compensation package, in addition to a full range of medical, financial, and/or other benefits, dependent on the position offered."
