Job Summary

  • Owns day-to-day legal operations for commercial legal transactions.
  • Develops, structures, drafts, negotiates and advises on a variety of technology and commercial transactions (inbound and outbound) including customer-facing SaaS, Vendor, Channel, NDAs, DPAs BAAs, data, IT services and licensing
  • Provides advice and counsel regarding data privacy matters
  • Understand company business and operational requirements and translate those requirements into contract form
  • Actively engages with internal clients from multiple business units, as well as customers and vendors and other third parties to provide solution-oriented counsel to solve complex problems in support of bswift's business objectives, while also focusing on risk mitigation, dispute avoidance and resolution counseling
  • Provides strategic advice and counseling to internal clients in a face paced growth environment.
  • Works with the Legal, Compliance, Sales, Channel, Product, Operations and Finance teams to ensure negotiations result in optimal terms and close customer transactions
  • Assists with the creation, updating and maintaining of commercial legal processes, contract templates, playbooks, SOPs
  • Applies solid understanding of laws, regulations and legal principles relevant to day-to-day work and remain up-to-date with current legal risks to assess and proactively advise on potential or emerging business risks faced by bswift
  • Develops and maintains best practices regarding bswift's contracts and business transactions. Communicates and trains on contract templates, required/preferred language and provisions, and provides guidance to business stakeholders early in the contract development process.
  • Assists with establishing and continuously improving systems, policies and processes within the Legal Department
  • Performs other responsibilities and special projects in support of the Legal team's goals and initiative
  • Other duties as assigned

Qualifications

  • Experience with SaaS contracting, cloud computing enterprise software/vendor contracting and data privacy
  • 9+ years legal experience at least 2 of which was at a large law firm or comparable in-house corporate legal environment with a focus on commercial transactional matters
  • Experience in benefits administration or benefits insurance companies is preferred
  • Excellent organizational, legal, analytical, communication, negotiation, drafting, legal writing and presentation skills
  • Proven track record of confronting and successfully resolving complex legal matters with a focus on balancing legal needs with business objectives
  • Ability to recognize and weigh business and legal risks
  • High sense of urgency and the ability to work independently in a team-oriented environment, as well as the ability to handle multiple priorities and meet firm deadlines
  • Strong interpersonal skills and ability to interact effectively, work diplomatically, and foster relationships with individuals at all levels including internal contacts, technical staff, sales staff, and outside attorneys
  • Juris Doctor degree from an ABA-accredited law school and a member in good standing of the relevant Bar
  • Thrive in a fast-paced, dynamic, and collaborative environment
  • Success working as part of a team and ability to handle multiple negotiations and assignments
  • Excellent attention to detail, self-starter, and ability to work with individuals at all levels in the company
  • Strong working knowledge of MS Office Suite, Salesforce, and contract lifecycle management

Travel

  • Occasional, as required

In the spirit of pay transparency, we are excited to share the base salary range for this position is $160,000-170,000 exclusive of fringe benefits or potential bonuses. If you are hired at bswift, your final base salary compensation will be determined based on factors such as geographic location, skills, education, and/or experience. In addition to those factors - we believe in the importance of pay equity and consider internal equity of our current team members as a part of any final offer. Please keep in mind that the range mentioned above is the full base salary range for the role. Hiring at the maximum of the range would not be typical in order to allow for future & continued salary growth. We also offer a generous compensation and benefits package!
